022. Professional Services and Contractual Framework
Any proposals, sourcing frameworks, supplier qualifications, or logistical coordination documents shared via our platform or direct communication are for preliminary informational and strategic purposes only.
They do not constitute a finalized, legally binding commercial contract. Formal commercial obligations are only established upon the execution of specific, signed agreements (such as Purchase Orders, Service Agreements, or NDAs) by all authorized representatives of the involved corporate parties.
We reserve the right to refuse service, terminate accounts, or cancel supply coordination projects at our sole discretion, particularly if we identify compliance, regulatory, or geopolitical risks.
033. International Compliance and Trade Regulations
As an entity engaged in cross-border supply coordination, Man-ar Canada Inc. strictly adheres to the export controls, economic sanctions, and customs regulations of Canada and applicable international jurisdictions.
Clients and partners utilizing our services warrant that they are not subject to any international trade embargoes or sanctions and that all procured commodities or industrial components will be used in a lawful and compliant manner.
044. Third-Party Manufacturers and Supply Chain Liability
While Man-ar Canada Inc. conducts rigorous technical alignment and supplier qualification, we act as a coordinating entity between buyers and international manufacturers.
We do not assume direct manufacturing liability for the industrial components or commodities procured. Warranties, product guarantees, and manufacturing defects remain the ultimate responsibility of the verified original equipment manufacturer (OEM) or producer, as outlined in the specific project contracts.
055. Intellectual Property and Confidentiality
All intellectual property rights concerning this website, including its design, operational blueprints, text, graphics, and proprietary coordination methodologies, are owned exclusively by Man-ar Canada Inc.
Furthermore, any technical specifications, engineering drawings, or strategic procurement data shared between you and Man-ar Canada Inc. will be treated with the utmost confidentiality, protected under standard corporate non-disclosure agreements (NDAs) where applicable.
066. Limitation of Corporate Liability
To the fullest extent permitted by applicable law, under no circumstances will Man-ar Canada Inc., its directors, employees, affiliates, or agents be held liable for any indirect, consequential, exemplary, incidental, or punitive damages.
This includes, but is not limited to, lost profits, delayed project timelines, lost revenue, supply chain disruptions, or data loss arising from your use of our website or our cross-border coordination services, even if we have been advised of the possibility of such damages.
077. Governing Law and Dispute Resolution
These Legal Terms and any disputes arising out of or related to our cross-border operations shall be governed by and construed strictly in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.
Any legal action, proceeding, or arbitration shall be brought exclusively in the competent courts located in Ottawa, Ontario, Canada.
